Airstride Wholesale Terms and Conditions

These Wholesale Terms and Conditions apply to all wholesale purchases of Airstride® products made through an approved Airstride wholesale account.

Airstride® is operated by JDI Corporate Pty Ltd, an Australian company (“Airstride”, “we”, “us” or “our”).

The business applying for a wholesale account or purchasing products for resale is referred to in these terms as the “Retailer”, “you” or “your”.

By applying for a wholesale account, accessing wholesale pricing or placing a wholesale order, you confirm that you have read, understood and agreed to these terms.

1. Wholesale Account Eligibility

Wholesale purchasing is available only to approved businesses purchasing Airstride products for genuine commercial resale.

To apply for or maintain a wholesale account, you may be required to provide:

  • your registered business name;
  • your trading name;
  • your business registration or tax identification number;
  • your business address;
  • your physical retail store, website or social media details;
  • your intended retail sales channels;
  • your Australian Business Number, US Employer Identification Number or Canadian Business Number, where applicable;
  • your resale certificate, sales tax permit or tax-exemption documentation, where applicable; and
  • any other information reasonably required to verify your business.

Airstride may approve or decline a wholesale application at its discretion.

Wholesale account approval does not provide the Retailer with:

  • an exclusive territory;
  • a guaranteed area of supply;
  • a guaranteed volume of stock;
  • exclusive access to particular products;
  • a distribution appointment; or
  • an ongoing entitlement to wholesale pricing.

Wholesale account access, login information and discount codes are issued only to the approved business and must not be shared with another person or business.

You must notify Airstride if your business ownership, business name, retail location, website or approved sales channels change.

2. Wholesale Pricing

Approved Retailers currently receive a standard wholesale discount of 50% off the applicable Airstride recommended retail price, unless another rate is displayed or agreed in writing.

Wholesale prices may be displayed in AUD, USD, CAD or another applicable currency according to the Airstride website, market or wholesale channel through which the order is placed.

Wholesale pricing does not include:

  • freight;
  • customs duties;
  • import tariffs;
  • brokerage charges;
  • customs-clearance charges;
  • sales tax;
  • GST, HST, PST or QST;
  • government fees; or
  • other destination-country charges,

unless expressly stated otherwise at checkout.

Airstride may change its wholesale prices, recommended retail prices, wholesale discount structure, products or product availability for future orders.

A pricing change will not affect an order that Airstride has already accepted and confirmed.

Wholesale pricing is confidential and must not be shared publicly or with unauthorised persons or businesses.

3. Recommended Retail Pricing and Promotions

Airstride may provide a recommended retail price for each product and market.

Airstride is positioned as a premium equestrian brand and ordinarily conducts only one or two general promotional sales each year. Airstride’s general promotional discounts are usually no greater than 20% off the applicable recommended retail price, except for genuine clearance, discontinued products or other exceptional promotions.

Retailers are encouraged to price and promote Airstride products in a manner consistent with this premium positioning.

However, each Retailer remains independently responsible for determining the prices at which it advertises and sells Airstride products.

Nothing in these terms requires a Retailer to advertise or sell Airstride products at a fixed or minimum resale price.

Retailers must not:

  • describe a recommended retail price as a previous selling price unless legally permitted;
  • advertise false, artificial or misleading savings;
  • create a misleading crossed-out or comparison price;
  • describe a promotion as an official Airstride sale without Airstride’s approval;
  • imply that Airstride has authorised or endorsed a promotion where it has not;
  • use Airstride promotional material outside the approved promotional period;
  • coordinate pricing with Airstride or another Airstride Retailer; or
  • make misleading representations about the availability, value or discounting of Airstride products.

Airstride may invite Retailers to participate in optional promotional campaigns and may provide approved promotional material subject to separate campaign conditions.

4. Payment

All wholesale orders must currently be paid in full at checkout unless Airstride agrees otherwise in writing.

Airstride does not currently offer:

  • credit accounts;
  • payment after delivery;
  • net payment terms;
  • consignment arrangements; or
  • sale-or-return arrangements.

An order is not accepted until:

  • payment has been received successfully;
  • any applicable fraud, tax or account-verification checks have been completed; and
  • Airstride has issued an order confirmation.

The Retailer is responsible for any bank fees, currency-conversion fees or payment-provider charges imposed by its own financial institution.

5. Minimum Orders

There is currently no minimum wholesale order value or minimum order quantity unless a minimum is displayed on the wholesale website, product page or checkout.

Certain products may be sold in minimum pack quantities or size assortments where stated.

Airstride may introduce or change minimum order values, pack quantities or opening-order requirements for future purchases.

Any new minimum will not apply to an order that Airstride has already accepted.

6. Freight Charges

Wholesale orders are subject to a freight charge calculated or displayed at checkout.

The freight charge covers freight and transportation only.

It does not include:

  • customs duties;
  • import tariffs;
  • sales tax;
  • GST, HST, PST or QST;
  • brokerage charges;
  • customs-clearance charges;
  • import permits;
  • storage charges;
  • government fees; or
  • any other charge imposed in the destination country,

unless Airstride expressly confirms otherwise in writing.

Airstride endeavours to keep wholesale freight charges as low as reasonably possible.

Freight charges may vary depending on:

  • the destination;
  • the size and weight of the order;
  • the selected carrier;
  • the fulfilment warehouse;
  • the service level;
  • remote-area surcharges; and
  • other carrier charges.

The freight amount displayed or charged may be an estimated or subsidised amount and may not represent Airstride’s full cost of delivering the order.

If an order requires unusual, oversized, remote-area or specially arranged freight, Airstride may contact the Retailer before dispatch to advise of an additional charge.

Airstride will not impose an additional freight charge after accepting an order without first obtaining the Retailer’s agreement, unless the charge arises because of incorrect information or a delivery issue caused by the Retailer.

7. Delivery Information

The Retailer must provide complete and accurate:

  • business and delivery names;
  • delivery address;
  • email address;
  • telephone number;
  • delivery contact;
  • tax identification information; and
  • customs or import information where required.

Airstride is not responsible for delays, losses or additional charges caused by inaccurate or incomplete information supplied by the Retailer.

Any address-correction, redelivery, storage, return-to-sender or other carrier charge caused by incorrect delivery information or the Retailer’s failure to receive the shipment may be charged to the Retailer.

Orders cannot always be redirected or amended after they have entered fulfilment.

8. Delivery Timeframes

Any processing, dispatch or delivery timeframe provided by Airstride or a carrier is an estimate only.

Delivery may be affected by circumstances outside Airstride’s reasonable control, including:

  • carrier delays;
  • customs processing;
  • border inspections;
  • severe weather;
  • natural disasters;
  • labour disruption;
  • transport disruption;
  • security inspections;
  • government action;
  • import restrictions;
  • inaccurate delivery information;
  • unpaid import charges; or
  • failure by the Retailer to provide required documents.

Airstride is not liable for loss of sales, loss of profit or other commercial loss arising from a reasonable carrier, customs or delivery delay.

A delivery delay does not automatically entitle the Retailer to cancel an order after it has been dispatched.

9. Customs, Duties, Taxes and Import Charges

The Retailer is responsible for all customs, duties, tariffs, taxes, brokerage fees and import-related charges imposed on the order unless Airstride expressly confirms otherwise in writing.

For international or cross-border wholesale orders:

  • freight charges cover transportation only;
  • customs duties and tariffs are not included;
  • import taxes and sales taxes are not included unless collected at checkout;
  • customs brokerage and clearance fees are not included;
  • the Retailer is responsible for acting as importer of record where required;
  • the Retailer is responsible for complying with local import requirements; and
  • the Retailer is responsible for paying all charges required to release the shipment.

The use of a freight carrier, fulfilment provider or customs broker does not remove the Retailer’s responsibility for applicable import charges and requirements.

Airstride is not responsible for:

  • delays caused by customs authorities;
  • customs classification decisions;
  • changes to tariff or duty rates;
  • taxes imposed after checkout;
  • brokerage charges;
  • delays caused by missing importer information; or
  • the Retailer’s failure to pay destination charges.

The Retailer is responsible for investigating the likely import costs before ordering.

10. Refused, Abandoned or Uncollected Shipments

The Retailer must not refuse or abandon a shipment because customs, duties, taxes, tariffs or brokerage charges are payable.

If an order is refused, abandoned, uncollected or returned because the Retailer:

  • does not pay import charges;
  • does not complete customs requirements;
  • does not provide required importer information;
  • refuses delivery;
  • provides an incorrect address; or
  • fails to collect or receive the shipment,

Airstride may deduct the following from any refund or wholesale credit:

  • the original freight charge;
  • any freight amount subsidised by Airstride;
  • return freight;
  • duties or tariffs charged to Airstride;
  • brokerage or customs fees;
  • carrier handling fees;
  • storage fees;
  • abandonment fees;
  • address-correction fees; and
  • any other reasonable costs incurred in recovering or dealing with the shipment.

No refund or credit will be issued until the returned goods have been received and inspected by Airstride or its nominated fulfilment provider.

If the cost of recovering or returning the shipment exceeds the value of the goods, Airstride may decline to recover the shipment and no refund or credit will be provided, to the extent permitted by law.

11. Australian Orders

Australian wholesale orders are sold by JDI Corporate Pty Ltd trading as Airstride.

Australian orders will be treated for GST purposes as displayed at checkout and on the applicable tax invoice.

The Retailer is responsible for providing a valid Australian Business Number and accurate tax information.

12. United States Orders

All US wholesale orders are sold and contracted by JDI Corporate Pty Ltd trading as Airstride.

US orders may be dispatched from Airstride’s nominated US fulfilment warehouse.

The use of a US warehouse, fulfilment provider or logistics company does not make that provider the seller of the goods.

The warehouse acts only as Airstride’s storage, packing and fulfilment provider.

Where products are dispatched domestically from stock already located in the United States, customs duties will not ordinarily arise from the domestic delivery itself.

Applicable state or local sales taxes may still apply.

US Retailers may be required to provide:

  • a valid resale certificate;
  • a state sales tax permit;
  • an Employer Identification Number; or
  • other state-specific tax-exemption information.

Airstride may charge applicable sales tax where it is legally required to do so or where valid exemption documentation has not been supplied and accepted.

The Retailer remains responsible for understanding and complying with its own state and local tax obligations.

If an order or part of an order is dispatched internationally into the United States, the Retailer may be responsible for customs duties, tariffs, taxes, brokerage and import-clearance charges.

13. Canadian Orders

All Canadian wholesale orders are sold and contracted by JDI Corporate Pty Ltd trading as Airstride.

Canadian orders may be dispatched from the United States, Australia or another fulfilment location selected by Airstride.

Unless Airstride expressly confirms otherwise in writing, Canadian wholesale orders are not supplied with duties and taxes paid.

Canadian Retailers are responsible for all applicable:

  • customs duties;
  • import tariffs;
  • GST or HST;
  • provincial sales tax;
  • QST;
  • brokerage charges;
  • customs-clearance fees;
  • importer registrations;
  • import documentation; and
  • other federal or provincial charges.

The freight charge paid to Airstride covers freight only and does not include Canadian destination charges.

The Canadian Retailer is responsible for acting as importer of record where required and for providing any Canadian Business Number or customs information necessary to release the order.

14. Order Acceptance and Availability

All orders are subject to:

  • stock availability;
  • payment verification;
  • account verification;
  • final acceptance by Airstride; and
  • these terms.

Submitting and paying for an order does not guarantee that every ordered item is available.

Inventory discrepancies, damaged stock, system errors or simultaneous purchases may occasionally affect product availability.

If Airstride cannot supply an item, it may offer:

  • a refund for the unavailable item;
  • wholesale credit;
  • an alternative product;
  • a partial shipment;
  • a backorder; or
  • another reasonable solution.

Airstride may decline or cancel an order where there is:

  • an obvious pricing or website error;
  • an inventory error;
  • suspected fraud;
  • an unauthorised payment;
  • misuse of a wholesale account;
  • inaccurate tax-exemption information;
  • an unauthorised sales channel;
  • a breach of these terms; or
  • another reasonable legal or commercial reason.

If Airstride cancels an order or item that has been paid for but will not be supplied, Airstride will refund the amount paid for the unsupplied goods.

15. Partial Shipments and Backorders

Airstride may dispatch an order in more than one shipment where products are stored at different locations or where part of the order is awaiting stock.

Airstride will not ordinarily charge an additional freight fee solely because Airstride elects to divide an accepted order into multiple shipments.

Where the Retailer requests separate delivery, urgent dispatch or an additional shipment, additional freight may apply.

Backorders will only be created where Airstride offers or approves them.

Estimated arrival dates for backordered products are not guaranteed.

16. Approved Retail Channels

Airstride products may only be sold through the Retailer’s approved:

  • physical retail store;
  • business website;
  • social media account;
  • event or trade stand; or
  • other disclosed and approved sales channel.

Unless Airstride approves otherwise in writing, products must not be sold through:

  • Amazon;
  • eBay;
  • Walmart Marketplace;
  • Temu;
  • AliExpress;
  • auction platforms;
  • liquidation websites;
  • discount marketplaces;
  • third-party seller accounts;
  • group-buying websites; or
  • another business’s website or account.

Retailers must not sell or transfer wholesale stock to:

  • another reseller;
  • another wholesaler;
  • an unauthorised distributor;
  • a marketplace seller;
  • a buying group; or
  • another third party purchasing for commercial resale,

without Airstride’s prior written approval.

Airstride may restrict cross-border resale where trademark rights, distribution arrangements, product requirements or regional commercial arrangements apply.

17. No Exclusivity

Approval as an Airstride Retailer does not currently provide:

  • an exclusive geographical territory;
  • an exclusive online territory;
  • an exclusive retail category;
  • exclusivity over a particular product;
  • exclusivity over a customer group; or
  • protection from other Airstride Retailers.

Airstride may:

  • sell directly to customers;
  • supply other Retailers in the same region;
  • operate its own online stores;
  • appoint distributors or sales representatives;
  • participate in events;
  • establish temporary retail locations; and
  • advertise or promote directly within the Retailer’s region.

Any exclusivity arrangement must be set out in a separate written agreement signed by Airstride.

18. Brand Presentation

Retailers must present Airstride products accurately, professionally and consistently with Airstride’s premium positioning.

Products must be displayed and marketed in a way that does not damage, diminish or misrepresent the Airstride brand.

Retailers must not:

  • remove or obscure Airstride branding;
  • replace product labels;
  • rebrand Airstride products;
  • alter product packaging in a misleading manner;
  • sell Airstride products as their own brand;
  • misrepresent the origin or manufacturer of the goods;
  • describe themselves as an exclusive Airstride distributor or representative without approval;
  • make false or misleading product claims; or
  • present damaged, used or returned products as new.

Airstride may request that inaccurate, outdated or inappropriate brand material be corrected or removed.

19. Airstride Intellectual Property

Airstride product names, trademarks, logos, product photographs, graphics, product descriptions, videos and other brand material remain the property of Airstride or its licensors.

Approved Retailers may use Airstride-supplied brand material only for the purpose of promoting genuine Airstride products purchased through an authorised wholesale account.

Retailers must not:

  • alter Airstride trademarks or logos;
  • register a business name containing “Airstride”;
  • register a domain containing “Airstride”;
  • create a social media username that suggests it is an official Airstride account;
  • use Airstride intellectual property for another brand or product;
  • claim ownership of Airstride material;
  • provide Airstride material to unauthorised third parties;
  • use outdated promotional material after being asked to remove it; or
  • reproduce Airstride product designs or proprietary features.

Permission to use Airstride material ends when the wholesale account is closed or when Airstride requests that the material no longer be used.

20. Product Claims

Retailers must represent Airstride products accurately and must only make claims that are supported by Airstride’s current approved product information.

Retailers must not make unauthorised claims that Airstride products:

  • prevent injury;
  • treat a medical or veterinary condition;
  • guarantee a particular performance outcome;
  • eliminate heat;
  • prevent tendon damage;
  • are suitable for every horse;
  • are scientifically proven beyond the claims supplied by Airstride; or
  • are endorsed by a particular veterinarian, rider or professional without authorisation.

Retailers are responsible for ensuring that their advertising and product representations comply with the laws applicable in their location.

21. Product Information and Fit

Airstride may provide product descriptions, measurements, sizing guides and general fit recommendations.

These are provided as guidance only.

Individual fit may vary according to:

  • the horse’s breed;
  • height;
  • bone;
  • conformation;
  • leg shape;
  • intended use; and
  • the way the product is fitted.

Retailers are responsible for providing reasonable and accurate product advice to their customers.

Retailers must not guarantee that a particular size will fit every horse unless Airstride has expressly provided that guarantee in writing.

22. Changes of Mind and Unsold Stock

Wholesale orders are firm commercial purchases.

Except where required by law or agreed by Airstride in writing, Airstride does not accept wholesale returns, exchanges, credits or refunds for:

  • change of mind;
  • incorrect size, colour or quantity ordered by the Retailer;
  • customer preference;
  • excess inventory;
  • slower-than-expected sales;
  • failure to sell the products;
  • changes to the Retailer’s business;
  • seasonal stock remaining unsold;
  • discontinued products;
  • packaging changes;
  • product-range changes; or
  • closure or sale of the Retailer’s business.

Retailers must check product selections, colours, sizes and quantities carefully before completing an order.

Airstride does not offer stock rotation, stock balancing, buybacks or sale-or-return arrangements unless agreed separately in writing.

23. Inspection of Deliveries

The Retailer must inspect each order promptly after delivery.

Any visibly missing, incorrect or damaged products should be reported to Airstride as soon as reasonably possible.

Reports should be emailed to hello@airstrideequine.com and include:

  • the wholesale order number;
  • the affected product;
  • the affected quantity;
  • a clear description of the issue;
  • clear photographs or video;
  • photographs of the external carton where transit damage is alleged;
  • photographs of the shipping label where requested; and
  • photographs of any internal packaging.

Products and packaging relevant to a claim must be retained until Airstride confirms that they may be discarded.

Failure to report visible damage or shortages promptly may affect Airstride’s ability to pursue a claim with the carrier, but does not remove any legal rights that cannot be excluded.

24. Incorrect Products

If Airstride supplies a product that is different from the product confirmed in the accepted order, the Retailer must contact Airstride before selling, using or returning it.

Airstride may arrange:

  • collection;
  • return freight;
  • replacement;
  • wholesale credit; or
  • refund,

depending on the circumstances.

An incorrect product must be returned in new, unused and saleable condition unless it arrived damaged or faulty.

25. Faulty or Damaged Products

Where a product is alleged to be faulty or damaged, Airstride may request:

  • photographs;
  • video;
  • proof of purchase;
  • details of use;
  • fitting information;
  • care information;
  • return of the product; or
  • another form of reasonable inspection.

The Retailer must not dispose of an affected product before Airstride has completed its assessment.

Where Airstride confirms that a product was supplied incorrectly, damaged before delivery or affected by a manufacturing fault, Airstride may provide an appropriate:

  • replacement;
  • repair;
  • wholesale credit;
  • refund; or
  • other remedy required by law.

The following are not ordinarily considered manufacturing faults:

  • normal wear;
  • cosmetic wear after use;
  • accidental damage;
  • damage caused by a horse;
  • misuse;
  • incorrect fitting;
  • overtightening;
  • failure to follow care instructions;
  • improper washing or drying;
  • unauthorised alteration;
  • damage caused during storage;
  • ordinary deterioration from repeated use; or
  • damage occurring after the product was supplied.

Nothing in these terms excludes, restricts or modifies any right or remedy that cannot legally be excluded.

26. Retail Customer Returns and Claims

The Retailer is responsible for managing its own:

  • customer service;
  • customer returns;
  • exchanges;
  • refunds;
  • fitting advice;
  • delivery issues; and
  • consumer-law obligations.

Customers who purchase through a Retailer should ordinarily contact that Retailer rather than Airstride regarding a return, exchange, refund or product concern.

The Retailer must not promise that Airstride will provide a refund, replacement or wholesale credit without first obtaining Airstride’s approval.

If a customer complaint may relate to a manufacturing fault, the Retailer should obtain the required information and evidence and contact Airstride.

Airstride is not responsible for:

  • the Retailer’s change-of-mind policy;
  • unauthorised warranties;
  • inaccurate advice provided by the Retailer;
  • promises made by the Retailer;
  • discounts provided by the Retailer;
  • the Retailer’s shipping charges;
  • the Retailer’s failure to obtain evidence; or
  • the Retailer’s failure to comply with applicable consumer laws.

27. Product Safety and Recalls

The Retailer must promptly notify Airstride of any:

  • alleged serious product-related incident;
  • significant product safety concern;
  • regulatory enquiry;
  • legal claim involving an Airstride product;
  • recurring product issue; or
  • circumstance that may require a product warning or recall.

The Retailer must reasonably cooperate with any:

  • investigation;
  • product correction;
  • safety notice;
  • product withdrawal;
  • customer notification; or
  • recall initiated by Airstride or required by a regulator.

The Retailer must maintain reasonable records of wholesale purchases and customer sales to assist with any safety-related action.

28. Confidentiality

The Retailer must keep confidential any non-public commercial information supplied by Airstride, including:

  • wholesale prices;
  • unreleased product information;
  • launch dates;
  • confidential product materials;
  • retailer-only promotions;
  • supply information;
  • account access details; and
  • other information identified as confidential.

Confidential information must not be shared with competitors, customers, unauthorised resellers or other third parties.

This clause does not apply to information that is already public through no breach by the Retailer or that must be disclosed by law.

29. Suspension or Closure of a Wholesale Account

Airstride may suspend or close a wholesale account where there is a reasonable legal, operational, brand-protection or commercial basis to do so.

Reasons may include:

  • sharing wholesale access;
  • unauthorised marketplace selling;
  • supplying unauthorised resellers;
  • fraudulent conduct;
  • payment disputes or improper chargebacks;
  • misuse of Airstride intellectual property;
  • misleading brand representation;
  • repeated refusal or abandonment of shipments;
  • failure to pay applicable charges;
  • inaccurate business or tax information;
  • serious customer-safety concerns;
  • breach of confidentiality;
  • serious or repeated breaches of these terms; or
  • conduct that may materially harm Airstride, its customers or authorised retail network.

Airstride will not suspend or close an account merely because a Retailer independently chooses to sell products below Airstride’s recommended retail price.

Where reasonably appropriate, Airstride will provide notice and an opportunity for the Retailer to address the issue.

Suspension or closure of an account does not affect rights or obligations relating to orders already accepted.

Once an account is closed, the former Retailer must stop representing itself as an authorised Airstride Retailer and must cease using Airstride material except as reasonably necessary to sell any genuine remaining stock.

30. Events Outside Airstride’s Control

Airstride is not responsible for delay or failure caused by events outside its reasonable control, including:

  • natural disasters;
  • severe weather;
  • fire;
  • flood;
  • epidemic or pandemic;
  • war;
  • civil unrest;
  • terrorism;
  • government action;
  • border closure;
  • customs disruption;
  • industrial action;
  • transport interruption;
  • carrier failure;
  • power failure;
  • internet or system failure;
  • supplier disruption; or
  • shortages of materials or transport capacity.

Airstride will take reasonable steps to manage the effect of such an event.

31. Limitation of Liability

To the maximum extent permitted by law, Airstride is not liable for indirect, incidental, special or consequential commercial loss arising from a wholesale order or wholesale relationship.

This includes:

  • lost profit;
  • lost sales;
  • loss of opportunity;
  • loss of anticipated savings;
  • reputational loss;
  • business interruption;
  • loss arising from delayed delivery;
  • loss arising from unavailable stock; or
  • loss caused by customs or carrier delays.

Where Airstride’s liability can lawfully be limited, Airstride’s liability relating to affected products will be limited, as appropriate, to:

  • repairing the products;
  • replacing the products;
  • resupplying the products;
  • providing wholesale credit;
  • refunding the amount paid for the affected products; or
  • paying the reasonable cost of an equivalent remedy.

Nothing in these terms excludes or limits:

  • liability that cannot legally be excluded;
  • rights or remedies that cannot legally be excluded; or
  • any mandatory legal protection applicable to the transaction.

32. Indemnity

To the extent permitted by law, the Retailer is responsible for loss, liability, damage or reasonable cost incurred by Airstride arising from:

  • the Retailer’s unlawful or misleading advertising;
  • unauthorised product claims;
  • misuse of Airstride intellectual property;
  • unauthorised alteration or relabelling of products;
  • the Retailer’s breach of applicable import or resale laws;
  • inaccurate customs or tax information supplied by the Retailer; or
  • a material breach of these terms.

This section does not apply to the extent that the loss was caused by Airstride’s negligence, unlawful conduct or breach of these terms.

33. Relationship Between the Parties

The Retailer purchases Airstride products as an independent business for resale.

Nothing in these terms creates:

  • an employment relationship;
  • a partnership;
  • a joint venture;
  • an agency relationship;
  • a franchise;
  • a fiduciary relationship; or
  • authority for the Retailer to bind Airstride.

The Retailer must not enter into agreements, make commitments or incur liabilities on behalf of Airstride.

34. Seller and Contracting Entity

All wholesale orders are sold and contracted by:

trading as Airstride®

Any warehouse, third-party logistics provider, fulfilment provider, customs broker or freight carrier used by Airstride acts only as a service provider.

The use of a service provider in the United States, Canada or another location does not make that service provider the seller, contracting party, distributor or agent of the Retailer.

35. Changes to These Terms

Airstride may update these Wholesale Terms from time to time to reflect changes to:

  • the wholesale program;
  • freight arrangements;
  • fulfilment locations;
  • products;
  • pricing;
  • technology;
  • business operations; or
  • legal requirements.

Updated terms apply to wholesale orders placed after the updated terms are published or otherwise provided to the Retailer.

A change will not retrospectively alter an order already accepted unless:

  • Airstride and the Retailer agree;
  • the change is required by law; or
  • the change benefits the Retailer without imposing a material additional obligation.

Retailers should review the current terms before placing each wholesale order.

36. Severability

If any provision of these terms is found to be invalid, illegal or unenforceable, that provision will be read down to the minimum extent necessary.

If it cannot be read down, it will be removed without affecting the remaining provisions.

37. Waiver

A failure or delay by Airstride to enforce a provision of these terms does not waive Airstride’s right to enforce that provision later.

A waiver is effective only if provided in writing by Airstride.

38. Entire Agreement

These terms, together with the accepted order confirmation and any separate written agreement signed by Airstride, form the agreement relating to the wholesale order.

They replace any previous discussions or representations relating to that order, except for rights that cannot lawfully be excluded.

If a separately signed wholesale or distribution agreement conflicts with these website terms, the separately signed agreement will apply to the extent of the inconsistency.

39. Electronic Acceptance

The Retailer may accept these terms electronically, including by:

  • selecting an acceptance checkbox;
  • submitting a wholesale application;
  • placing a wholesale order;
  • using a wholesale discount code; or
  • continuing to access approved wholesale pricing after receiving these terms.

Electronic acceptance has the same effect as signing a written agreement, subject to applicable law.

40. Governing Law and Disputes

These Wholesale Terms and all wholesale orders are governed by the laws of New South Wales, Australia.

The parties submit to the courts and tribunals having jurisdiction in New South Wales, Australia.

Before commencing formal proceedings, each party agrees to make a genuine attempt to resolve the dispute through written communication and good-faith negotiation.

Nothing in this section excludes or overrides any mandatory right, law or jurisdictional requirement that cannot legally be excluded in the Retailer’s location.
